Incorporation, compliance and shareholder disputes

Company incorporation and SECP filings, partnership and shareholder disputes, director and management conflicts, commercial contracts and company petitions before the Lahore High Court.

Overview

Most corporate work for a Lahore business is unglamorous and consequential: getting the company incorporated correctly, keeping SECP filings current so directors are not penalised, and drafting the contracts and shareholder arrangements that prevent the dispute that arrives three years later. Fortis Legal Partners advises owner-managed companies, partnerships and family businesses on all of it, and litigates when the arrangement breaks down.

On the contentious side we act in partnership dissolution and accounts, shareholder oppression and mismanagement petitions, disputes over directorships and share transfers, recovery under commercial contracts, and winding-up proceedings before the Lahore High Court. Show-cause proceedings before the SECP are handled with an eye to the commercial outcome, not only the legal one.

What the process looks like

  1. 1

    Structure

We advise on the right vehicle, company, LLP or partnership, and draft the constitutional documents to fit how the owners actually work.

  2. 2

    Registration and compliance

Filings on the SECP eServices portal, statutory registers and an annual compliance calendar.

  3. 3

    Dispute

Negotiation first where the business is worth saving; otherwise a petition or suit with interim protection for the assets and accounts.

  4. 4

    Resolution

A negotiated exit, a court-supervised buy-out or a decree, executed and recorded with the SECP.

Questions clients ask

With the name reserved and documents in order, incorporation through SECP eServices typically completes within a few working days. Bank account opening, NTN and provincial sales tax registration follow and take longer.

A partner is entitled to accounts. A suit for rendition of accounts and dissolution can be filed in the civil court, with an injunction against dealing with partnership property. Where the business is a company, a petition under the Companies Act may be the right route instead.

Late filing attracts additional fees and the company and its officers can be penalised after a show-cause notice. Persistent default can lead to the company being struck off. Defaults are usually curable if addressed promptly.
